Terms of Use

These terms govern your use of this website and, where you hold one, your DutyPath membership. Last updated [CONFIRM: effective date].

Who you are contracting with

DutyPath LLC, a Virginia limited liability company with its principal place of business at [CONFIRM: business address for publication]. In these terms, "DutyPath", "we" and "us" mean DutyPath LLC. "You" means the person or practice using this site or holding a membership.

Separate agreementsAcademy enrollment, Workflow subscription and directory listing are each governed by their own agreement, presented to you before you pay. Where one of those conflicts with these terms, that agreement controls for that service.
Other organizationsVeterans Desk, Inc. and Mendry, Inc. are separate organizations. These terms do not govern anything either of them provides, and neither is a party to your agreement with us.
EligibilityYou must be at least 18 and able to form a binding contract. Memberships are held by individuals or practices, not shared.

What DutyPath does and does not do

These are contract terms, not marketing language. They state the limits of what you are buying.

Not an employerDutyPath does not employ members. A member engaged by a provider contracts with that provider directly as an independent contractor. DutyPath is not a party to that engagement, sets no rates, exercises no control over the work, and takes no fee from what is paid.
Not a staffing serviceDutyPath does not match, assign, allocate, refer or recommend members to providers. The directory is a list you browse. Selection and every decision that follows are yours.
No outcome promisedWe make no representation about engagement, client volume, earnings, examination results, or the outcome of any credentialing or enrollment application. Nothing on this site is a promise of employment or income.
Not government affiliatedDutyPath is a private company, not affiliated with, authorized by or endorsed by the U.S. Department of Veterans Affairs or any other government agency.
Not professional adviceCourse material, reference material and site content are educational. They are not legal, tax, medical or compliance advice, and they do not create a professional relationship. Your own compliance obligations remain yours.
CredentialsA DutyPath certificate of completion is a learning record. It is not a license, a government certification or accredited continuing education. The CFPO credential is issued by CIFPO, which is a separate entity; that relationship is disclosed on the Academy page.

Your account and your conduct

Your credentialsKeep your sign-in details confidential and tell us promptly at [CONFIRM: security contact email] if you believe they have been compromised. You are responsible for activity under your account.
AccuracyEverything on your listing — subspecialty, roles, education, credentials, résumé — must be true and current. Misrepresenting a credential is grounds for immediate removal.
ScreeningBackground screening is a condition of appearing in the directory. A listing does not go live before screening is complete, and we may remove a listing if screening status lapses.
No patient informationDo not put protected health information into this website, into a listing, or into any message sent through it. Where an engagement requires PHI to enter Workflow, a business associate agreement must be executed first.
Prohibited useNo scraping or bulk extraction of the directory, no reselling access, no use of member or provider contact details for unrelated solicitation, and nothing unlawful.

Intellectual property

The Direct Care Support Professional framework, the course material, the platform and this site are DutyPath's work and are protected by copyright. DutyPath also licenses certain marks and content from Veterans Desk, Inc. under a written agreement.

Your licenseEnrollment gives you a personal, non-transferable license to use course material for your own learning. It does not permit copying, redistribution, resale, or use to build or teach a competing program.
Your contentYour résumé, logo and listing text remain yours. You give us permission to display them in the directory for as long as your listing is live.
MarksDutyPath, DutyPath Academy and DutyPath Workflow are marks of DutyPath LLC. CFPO and CIFPO are used under the terms published by CIFPO.

Payment, suspension and the legal terms

PricesPrices are published on the Academy and Workflow pages and are the same for every customer. We may change published prices going forward; a change does not affect a course you have already paid for or a subscription period already billed.
RefundsGoverned by the Refund and Cancellation Policy, which forms part of these terms.
SuspensionWe may suspend or end a membership for non-payment, for misrepresentation, for a failed or lapsed screening, or for conduct that breaches these terms. Where the reason is not urgent we will give you notice and a chance to fix it.
DisclaimerThe site and services are provided "as is". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Limitation of liabilityTo the extent the law allows, DutyPath is not liable for indirect, incidental, special or consequential damages, or for lost profits or lost business. Our total liability is limited to [CONFIRM WITH COUNSEL: liability cap — commonly amounts paid in the preceding 12 months].
Governing lawThe laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. Venue [CONFIRM WITH COUNSEL: venue, and whether arbitration and a class-action waiver are used].
ChangesWe may update these terms. Material changes will be posted here with a new effective date, and where they affect a paid service we will notify account holders at the email on file.
